1. Acceptance of Terms

Welcome to Flobase. By accessing or using our service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

Flobase is operated by Flobase Inc., a Delaware corporation with its principal place of business at 1234 Innovation Drive, Wilmington, DE 19801.

2. Description of Service

Flobase provides an AI-powered email management platform that helps users organize emails, generate intelligent responses, schedule meetings, and collaborate with team members. Our service integrates with email providers such as Google and Microsoft to provide seamless email management capabilities.

3. User Accounts and Registration

To use our service, you must create an account by authenticating through Google or Microsoft OAuth. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

4. Subscription and Billing

Free Trial: We offer a 7-day free trial for new users. A valid payment method is required to start the trial. You will be charged automatically at the end of the trial period unless you cancel before the trial expires.

Subscription Plans: After the trial period, you will be charged based on your selected plan (monthly or annual). All fees are in U.S. dollars and are non-refundable except as required by law.

Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellations will take effect at the end of the current billing period.

5. Acceptable Use Policy

You agree not to:

• Use the service for any illegal purpose or in violation of any laws
• Transmit any viruses, malware, or malicious code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the service or servers
• Use automated systems to access the service without permission
• Violate the intellectual property rights of others
• Harass, abuse, or harm other users
• Send spam or unsolicited communications through our service

6. Email Access and Data Processing

By connecting your email account, you grant Flobase permission to access, process, and store your email data for the purpose of providing our services. This includes:

• Reading and analyzing email content to provide AI-powered features
• Creating labels, tags, and organizational structures
• Generating draft responses and email summaries
• Scheduling meetings and calendar events
• Storing email metadata and processing information

We will only access data necessary to provide our services and will not sell your data to third parties.

7. Intellectual Property Rights

The service and its original content, features, and functionality are owned by Flobase Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to your email data and content. By using our service, you grant us a limited license to process and display your content solely for the purpose of providing our services.

8. AI-Generated Content

Our service uses artificial intelligence to generate email responses, summaries, and other content. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and approving all AI-generated content before sending or using it.

Flobase makes no warranties about the accuracy, reliability, or appropriateness of AI-generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOBASE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the service will be uninterrupted, secure, or error-free, or that defects will be corrected.

11. Indemnification

You agree to indemnify, defend, and hold harmless Flobase Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the service or violation of these terms.

12. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these terms. Upon termination:

• Your right to access the service will immediately cease
• We will delete your account data according to our data retention policy
• You will not be entitled to any refund of fees paid
• You must immediately cease all use of the service

13. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these terms or your use of the service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the service. Your continued use of the service after changes constitutes acceptance of the modified terms.
